Introduction and Purpose
Under its social responsibility commitment, Nex Global LLC, trading as "Nex Systems" ("Nex"), may provide selected Services at no subscription fee to eligible government entities and registered non-profit organizations (the "Government & NPO Program" or "Program"). This Policy explains who may apply, how applications are decided and the conditions that apply. It supplements Part C, Section C3 of the Terms of Service, which, together with the other documents that form the Agreement, governs every participant. If this Policy conflicts with the Terms of Service, the Terms of Service prevail.
The Program is discretionary. Nothing in this Policy gives any organization a right to be accepted, to receive any particular product or level of service, or to continue in the Program.
1. Eligibility Criteria
1.1 Eligible organizations. The following may apply: (a) ministries, departments, public agencies, regulators, financial intelligence units and other public-sector bodies; and (b) registered charities, foundations, public-benefit associations and non-governmental organizations that are validly registered and in good standing under the laws of their country.
1.2 Not eligible. The following are not eligible: commercial companies, including state-owned or state-controlled enterprises operating on a commercial basis; regulated financial institutions; political parties, candidates and campaigns; individuals; organizations that are Restricted Parties or are located in a country or territory subject to comprehensive sanctions; and any organization whose activities, in Nex's judgment, are inconsistent with the purpose of the Program or present unacceptable legal, reputational or financial-crime risk.
1.3 Additional criteria. Nex may apply additional criteria, including the applicant's mission and public-interest purpose, size, country, intended use case, capacity to use the Services responsibly, and Nex's available capacity in the Program. Meeting the criteria does not guarantee acceptance.
2. Application and Approval
2.1 How to apply. Applicants must submit an application through the form on the Website or by email to legal@nex.systems, with evidence of their public status or non-profit registration, the name of an authorized signatory, a description of the intended use, and any other information Nex requests.
2.2 Due diligence. Nex carries out due diligence on each applicant, which may include verification of registration, ownership, management and funding, and screening against sanctions and other lists.
2.3 Decision. Nex decides eligibility and acceptance in its sole discretion. Its decision is final, and it may refuse an application without giving reasons.
2.4 Written approval. Participation begins only when Nex has confirmed acceptance in writing and the participant has accepted the Terms of Service, signed the Data Processing Agreement and confirmed the agreed scope under Section 3.
2.5 Required documents and verification. Each applicant must provide, as applicable: (a) for public bodies, a letter on official letterhead signed by an officer authorized to bind the body, confirming its legal status, the intended use and the authority of the signatory; (b) for non-profit organizations, its certificate of registration as a charity, foundation or non-profit, its constitutional documents, a list of its governing board members and its most recent annual report or financial statements; and (c) a valid government-issued photo identity document of the authorized signatory. Nex verifies these documents through reliable and independent means, which may include official registers, electronic identity verification and a video call with the signatory, and may request further information at any time.
3. Scope: Limited Products, Users, Volumes and Agreed Period
3.1 Limited scope. The Program covers only the products, modules, features, number of Authorized Users, volumes, support level and period that Nex agrees in writing with each participant before access begins (the "Agreed Scope"). Not all Services are available under the Program, and Nex may offer different scopes to different participants.
3.2 Agreed period. Access is provided for the period stated in the Agreed Scope. If no period is stated, access lasts twelve (12) months from the start date. Access ends automatically at the end of the agreed period unless Nex agrees in writing to renew it.
3.3 Use beyond scope. Use beyond the Agreed Scope, including additional products, users or volumes, requires Nex's prior written agreement and may be charged at Nex's then-current rates, or suspended.
3.4 Third-party costs. Where a feature depends on third-party services or data that carry a cost to Nex, Nex may exclude that feature from the Program or agree a cost-recovery charge with the participant in advance.
3.5 Same security standards. Program participants benefit from the same security measures and data protection commitments as paying customers, as described in the Data Processing Agreement and the Trust Centre.
3.6 Support and onboarding. Unless the Agreed Scope states otherwise, support under the Program is limited to access to the Documentation and email support during Nex's normal business hours, with no guaranteed response times. Any onboarding, configuration, training or integration assistance is provided at Nex's discretion and subject to its available capacity.
4. Conditions of Participation
4.1 Permitted use. Participants must use the Services only for their own public-interest or charitable purposes described in their application, and in accordance with the Terms of Service, the Data Processing Agreement and the Acceptable Use Policy.
4.2 No resale or transfer. Participants must not resell, sublicense, transfer or provide the Services, or access to them, to any commercial entity or any other person, and must not use them to provide paid services to others.
4.3 Continuing eligibility. Participants must notify Nex promptly if they cease to meet the eligibility criteria, and must provide updated evidence of their status on request.
4.4 Feedback and cooperation. Nex may ask participants for reasonable feedback on their use of the Services. Participants are not required to provide feedback, and any feedback is subject to the Terms of Service.
4.5 Publicity. Nex may publicly identify a participant as a member of the Program, including by name and logo, unless the participant opts out in writing. Nex will not describe the participant's use of the Services, or quote it, without its prior approval. Participation does not mean that the participant endorses Nex.
4.6 Annual confirmation. Each participant must confirm in writing once a year, and whenever Nex asks, that it continues to meet the eligibility criteria and that its use of the Services remains within the Agreed Scope and the purposes approved under the Program.
5. Integrity and Anti-Corruption
5.1 Not an inducement. The Program is offered to organizations, not to individuals, and solely to support public-interest and charitable work. It is not offered, and must not be accepted, in exchange for, or with the intention of influencing, any procurement decision, contract award, licence, approval, regulatory decision, inspection outcome or other official act or favorable treatment.
5.2 Participant's rules. Each participant confirms that its acceptance of the Program is permitted by, and will be recorded in accordance with, the laws, procurement rules, gift and hospitality rules and internal policies that apply to it, and that the person accepting on its behalf is authorized to do so.
5.3 No personal benefit. No officer, employee or representative of a participant may receive any personal benefit, payment, gift or other advantage from Nex in connection with the Program.
5.4 Separation from commercial dealings. Participation does not give the participant or Nex any advantage, or impose any disadvantage, in any separate procurement or commercial process. Where Nex takes part in a tender or procurement process run by a participant, it will do so on the same terms as any other bidder and will disclose its participation in the Program where required.
5.5 Compliance. Nex and each participant must comply with all applicable anti-bribery and anti-corruption laws, including the U.S. Foreign Corrupt Practices Act and the UK Bribery Act 2010, and with Section 7.8 of the Terms of Service. Any concern should be reported to legal@nex.systems.
5.6 No commissions. Nex does not pay referral commissions or any other benefit to any person for introducing an organization to the Program, except as expressly permitted by Section 2.2 of the Referral Program Policy.
6. No Warranty and Liability
6.1 Free Service. Services provided under the Program are Free Services under the Terms of Service. They are provided "as is", without any warranty, service level or service credit, except as Nex expressly agrees in the Agreed Scope.
6.2 Liability. Nex's liability in connection with the Program is limited as set out in the Terms of Service for Free Services. Because no Fees are paid, the participant agrees that the amount recoverable under the liability cap is limited accordingly, to the maximum extent permitted by the law applicable to the participant.
6.3 Participant's responsibility. Each participant remains fully responsible for its own decisions, investigations, reports, legal obligations and use of results, in accordance with the Terms of Service and the Acceptable Use Policy.
7. Changes, Renewal and Termination
7.1 Changes to the Program. Nex may change, suspend or end the Program, or change the Agreed Scope for any participant, by giving at least sixty (60) days' written notice.
7.2 Immediate termination. Nex may end a participant's access immediately if the participant ceases to be eligible, breaches the Terms of Service, this Policy or the Acceptable Use Policy, or if continued participation would expose Nex to legal, regulatory, sanctions or reputational risk.
7.3 No obligation to renew or convert. Nex has no obligation to renew any participant's access. At the end of the agreed period, the participant may ask to renew or to purchase a subscription, on terms that Nex offers at that time.
7.4 Data at the end of access. On termination or expiry, the participant may export its data during the retrieval period set out in the Terms of Service and the Data Processing Agreement, after which the data is deleted in accordance with those documents.
