Software License Agreement

Grant of License

Subject to the terms of this Agreement, Nex Systems grants you a limited, non-exclusive, non-transferable license to use our software solutions including AML, KYC, Screening, Accounting, CRM, and AI systems solely for your internal business purposes.

Permitted Uses

You may use the software for:

Internal business operations and compliance activities
Processing customer data in accordance with applicable regulations
Integration with your existing business systems
Training your authorized personnel

Restrictions

You may not:

Copy, modify, or create derivative works of the software
Reverse engineer, decompile, or disassemble the software
Sublicense, rent, lease, or distribute the software
Use the software for any unlawful purpose
Remove or alter any proprietary notices or labels
Use the software to compete with Nex Systems

Intellectual Property

The software and all related intellectual property rights are and shall remain the exclusive property of Nex Systems. This Agreement does not grant you any rights to our trademarks, service marks, or logos.

Data Ownership

You retain ownership of all data you input into or generate through the software. We may process this data to provide our services and improve our AI systems, but we do not claim ownership of your data.

Updates and Maintenance

We may provide updates, patches, and new versions of the software. Your continued use of updated software is subject to this Agreement unless a new license agreement is provided.

Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. NEX SYSTEMS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

IN NO EVENT SHALL NEX SYSTEMS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE.
